9.4 Removal or suspension of a Listing does not entitle you to any refund of fees already paid, except where we expressly agree otherwise.
10. Your licence to us (User Content)
10.1 You retain ownership of your User Content.
10.2 By submitting User Content to the Site, you grant us a worldwide, non-exclusive, royalty-free licence (with the right to sub-licence) to use, host, store, reproduce, modify, adapt, publish, translate, distribute, display and make your User Content available on or through the Site and in our marketing (including email and social media) for the purpose of operating, promoting and improving the Site and the Services.

12.1 Many Listings on the Site are free. We also offer paid options, such as Spotlight Listings and Bespoke Promotions (together, “Paid Servicesâ€).
12.2 The description, duration and price of the Paid Services will be set out on the Site or in a separate written proposal agreed with you.

(b) our fees are exclusive of VAT or any other applicable sales tax, which will be added at the prevailing rate; and

12.4 Your Paid Services will commence only once we have received full payment (or, if agreed, a valid purchase order and satisfactory credit arrangements).
12.5 Except to the extent required by law, or expressly stated otherwise in writing:
(a) all fees for Paid Services are non-refundable once the relevant campaign, Listing or promotion has gone live or has been materially prepared by us for publication; and
(b) if we suspend or remove a Listing because of your breach of these Terms, you are not entitled to a refund.
12.6 We may change our fees and Paid Service offerings at any time. Changes will not affect Paid Services that you have already purchased, but will apply to any future purchases.

13.4 Any dealings you have with third parties (including Organisers, Suppliers, Speakers, CPD Providers and Law Firm Networks) are solely between you and them. You are responsible for making your own checks and enquiries before entering into any contract or attending any event.
14. Disclaimers
14.1 While we aim to maintain a high-quality directory, we do not warrant or guarantee that:
(a) any Listing is accurate, complete, up-to-date or free from error;
(b) any event will take place as described, or at all;
(c) any Supplier, Speaker, CPD Provider or Law Firm Network is suitable for your purposes or will perform as expected; or
(d) the Site or Services will meet your requirements or be available at all times.
14.2 Event details, venues, dates, speakers, pricing and availability may change, and events may be postponed or cancelled by Organisers at short notice. You must:
(a) check the Organiser’s own website or communications for the latest information; and
(b) confirm all details with the Organiser before booking travel or accommodation.
14.3 We are not responsible for:
(a) any act or omission of an Organiser, Supplier, Speaker, CPD Provider, Law Firm Network or other User (including errors or omissions in their Listings or their performance of any contract with you);
(b) any travel, accommodation or other arrangements you make in connection with an event; or
(c) any decision you make, or any action you take or fail to take, based on information obtained from the Site.
14.4 The Site and Services are not intended to, and do not, provide legal, financial, tax or other professional advice. You should obtain your own independent advice before relying on any information from the Site.
15. Indemnities
15.1 Each Organiser, Supplier, Speaker, CPD Provider, Law Firm Network and any other User who submits User Content or creates a Listing (each a “Contributorâ€) agrees to indemnify us and hold us harmless from and against any and all claims, demands, actions, proceedings, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with:
(a) their Listings or User Content (including any allegation that such content is inaccurate, misleading, unlawful or infringes any third-party rights);
(b) any event, product or service they organise, provide or promote (including any allegation of breach of contract, negligence, misrepresentation or regulatory non-compliance);
(c) any breach by them of these Terms; and
(d) their misuse of the Site or Services.
15.2 This indemnity applies to claims brought by any third party and to regulatory or professional body investigations or actions, to the extent permitted by law.
16. Limitation of liability
16.1 Nothing in these Terms excludes or limits our liability for:
(a) death or personal injury caused by our negligence;
(b) fraud or fraudulent misrepresentation; or
(c) any other liability that cannot be excluded or limited under English law.
16.2 Subject to clause 16.1, to the fullest extent permitted by law:
(a) we exclude all implied conditions, warranties, representations or other terms that may otherwise apply to the Site or Services; and
(b) the Site and Services are provided on an “as is†and “as available†basis.
16.3 Subject to clause 16.1, we will not be liable to you (whether in contract, tort (including negligence), misrepresentation, restitution or otherwise) for any:
(a) loss of profit, revenue, sales or business;
(b) loss of contracts or opportunities;
(c) loss of anticipated savings;
(d) loss of or damage to goodwill or reputation;
(e) loss of or corruption of data or information; or
(f) any indirect or consequential loss or damage,
in each case arising out of or in connection with these Terms, the Site or the Services.
16.4 Subject to clauses 16.1–16.3, our total aggregate liability to you for all claims arising out of or in connection with these Terms, the Site and the Services (whether in contract, tort (including negligence), misrepresentation, restitution or otherwise) will be limited to the greater of:
(a) the total fees you have paid to us in the 12 months preceding the event giving rise to the claim; and
(b) £1,000.
16.5 You agree that the limitations and exclusions of liability in this clause 16 are reasonable given the nature of the Site, that access to the Site is largely provided without charge, and that we have no direct involvement in the events or services listed.
17. Suspension and termination
17.1 We may suspend or terminate your access to the Site, and/or remove or disable any Listing, at any time if:
(a) you materially or repeatedly breach these Terms;
(b) we reasonably believe that your use of the Site may expose us or any User to legal, regulatory or reputational risk; or
(c) we cease to provide the Site or the relevant Services.
17.2 We will usually try to give you prior notice of suspension or termination where reasonably practicable, but we are not obliged to do so.
17.3 You may stop using the Site and request closure of your account at any time by contacting us.
17.4 Termination of your account or removal of a Listing does not affect:
(a) any rights or obligations that have accrued up to the date of termination; or
(b) any provisions of these Terms which are intended to continue in force after termination, including clauses 10–16, 18–21.
18. Changes to the Site and these Terms
18.1 We may update and change the Site from time to time, including by adding, removing or altering features, Listings categories or Paid Services.
18.2 We may amend these Terms from time to time. The updated Terms will be posted on the Site with a revised “last updated†date.
18.3 For Users who have purchased a Paid Service, we will not make changes to these Terms that materially disadvantage you during the period of that Paid Service without giving you notice. If you do not agree to a material change, you may cancel the affected Paid Service, and we will refund any unused portion of the fee you have paid for that specific Paid Service.
18.4 For all other Users, your continued use of the Site after the updated Terms have been posted will constitute your acceptance of the changes. If you do not agree to the updated Terms, you should stop using the Site.
19. Privacy and data protection
19.1 We will handle personal data in accordance with applicable data protection laws and our Privacy Policy, which is available on the Site.
19.2 You must ensure that any personal data you provide to us or include in a Listing is provided lawfully and that, where required, you have obtained all necessary consents and provided all necessary notices.
19.3 If you act as a controller of personal data obtained through the Site (for example, attendee lists you gather via your own registration systems), you are solely responsible for complying with data protection laws in respect of that data.
20. Complaints, negotiation and mediation
20.1 If you have any complaint or dispute with us in connection with the Site or these Terms, you should first contact us using the details on the Site, setting out all relevant information.
20.2 We and you will use good faith efforts to resolve the dispute through informal negotiation within 30 days of the complaint being raised.
20.3 If the dispute is not resolved within that 30-day period, either party may propose that the dispute be referred to mediation. If we and you agree to mediate:
(a) the mediation will take place in England;
(b) the mediator will be appointed by agreement between us, or failing agreement, by a reputable mediation provider (such as CEDR) on the application of either party; and
(c) the costs of the mediator will be shared equally, with each party bearing its own other costs.
20.4 Neither party may commence court proceedings against the other in relation to any dispute arising out of or in connection with these Terms until it has attempted to resolve the dispute by negotiation and (if agreed) mediation, provided that:
(a) nothing in this clause prevents either party from seeking urgent injunctive or other interim relief from the courts; and
(b) the time limits for bringing claims are not extended by these negotiation and mediation steps.
21. Governing law and jurisdiction
21.1 These Terms, and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims), are governed by and construed in accordance with the laws of England and Wales.
21.2 The courts of England and Wales will have exclusive jurisdiction to settle any such dispute or claim, subject to clause 20 (negotiation and mediation).
22. General
22.1 Entire agreement
These Terms, together with any documents referred to in them (such as any specific written proposal for Bespoke Promotions), set out the entire agreement between you and us in relation to your use of the Site and the Services, and supersede any prior agreements or understandings.
22.2 No reliance
You acknowledge that you have not relied on any statement, representation or warranty not expressly set out in these Terms.
22.3 No partnership or agency
Nothing in these Terms is intended to or shall operate to create a partnership, joint venture, employment or agency relationship between you and us.
22.4 Assignment
You may not assign, transfer or subcontract any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms in connection with a business transfer or group reorganisation.
22.5 Severance
If any provision of these Terms is found by a court or other competent authority to be invalid, unlawful or unenforceable, that provision shall be treated as deleted, but this shall not affect the validity and enforceability of the remaining provisions.
22.6 Waiver
No failure or delay by us in exercising any right or remedy under these Terms shall constitute a waiver of that or any other right or remedy.
22.7 Third-party rights
Except as expressly stated otherwise, a person who is not a party to these Terms has no right to enforce any of their terms under the Contracts (Rights of Third Parties) Act 1999.
